Why GoodBridge?

One of the potential agreed-upon strategies may include ownership's decision to sell 100% of the company to a strategic or financial buyer.  Selling a business is a life-changing, typically once-in-a-lifetime decision, which should not be taken lightly as generational wealth and financial independence are at stake.  Being prepared to sell a business means thinking well in advance prior to undertaking a sale transaction as the transaction process is lengthy, very detailed, particularly time-consuming when trying to run a business at the same time, and extremely difficult to navigate alone, especially when buyers are typically seasoned, sophisticated and well-versed in the deal process.   


GoodBridge Advisory informs the ownership client on the key considerations of a transaction, such as the market dynamics, the company's approximate enterprise value and after-tax proceeds, the transaction lifecycle, and the significant workload and time commitment that is required.  GoodBridge's approach is centered around knowing the big picture while scrutinizing the abundance of details inherent in each transaction as we leverage our decades of transactional experience, financial expertise, negotiation skills, market comparables and industry knowledge, and project management skills in order to:

  • Understand you the client and your business, its products and offerings, and culture
  • Crystallize the goals and ideal outcome for you and your stakeholders
  • Properly present "recasted" financials into a buyer-friendly financial databook to unlock the true profitability and enterprise value of your business
  • Seek out qualified potential buyers and execute NDAs
  • Share a succinct marketing presentation and financial databook that showcases your business and its central attributes with the qualified buyers
  • Negotiate proposal terms to maximize value and fit with a single buyer party and execute a letter of intent
  • Manage and streamline due diligence and the finalization of the acquisition legal agreements
  • Close on the initial agreed-upon proposal terms 


Prior to sharing the marketing presentation with potential buyers, GoodBridge Advisory will perform a detailed review and analysis of the client's historical financial statements to "recast" its financials in a financial databook to present its true financial position as well as assess the overall business in other integral areas (i.e. sales, supply chain, HR, operations, tax, etc) to highlight the focal points.  Ultimately, we know what buyers would like to see when conducting a preliminary valuation of a company, what a competitive proposal should look like, how to get through due diligence, negotiate market positions in legal agreements, and close the deal.


The same holds true for GoodBridge as a buy-side advisor as we advise on what information to seek out from a target company, how to properly value a target company, structure a transaction using market knowledge and experience, conduct due diligence, and close a transaction.
